Terms and conditions for using Nucleus AI services, governed by Singapore law.

These Terms constitute a legally binding agreement. By using our Services, you agree to these Terms. If you do not agree, do not use our Services.
1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Nucleus Enterprise PTE. LTD. ("Nucleus AI," "we," "our," or "us"), a company incorporated in Singapore.
By accessing or using our AI agent platform, website, APIs, and related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

- •We do not guarantee accuracy or suitability of Generated Content
Your Responsibility
You are solely responsible for reviewing, verifying, and determining the appropriateness of all Generated Content. Do not rely solely on AI for critical decisions affecting health, safety, legal rights, or finances.
7. Intellectual Property Rights
Our IP
The Services, software, algorithms, and trademarks are owned by Nucleus AI. These Terms do not grant ownership rights.
Your Content
You retain ownership of User Content. You grant us a limited license to process it solely to provide the Services.
Generated Content
Subject to these Terms, you own Generated Content. However, similar outputs may be generated for others, uniqueness is not guaranteed, and some jurisdictions may not recognize copyright in AI works.

We process personal data per our Privacy Policy and Singapore PDPA.

Your Obligations

9. Payment Terms
Billing
- • Charged in advance (monthly/annual)
- • Payable in US Dollars
- • Fees are non-refundable except as stated
Credits
- • Measure AI processing consumption
- • Expire at billing period end
- • Do not roll over (unless specified)
- • Non-refundable

All fees exclude taxes. You are responsible for GST where applicable.

11. Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
Exclusions
We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or opportunities.
Liability Cap
Our total liability shall not exceed the greater of: (a) amounts paid in the 12 months preceding the claim, or (b) USD $100.

You agree to indemnify and hold harmless Nucleus AI from claims arising from:

By You
Terminate anytime via account settings. No refund of prepaid fees.
By Us
- • For Cause: Immediate if breach/fraud
- • Convenience: 30 days' notice
- • Non-Payment: After 15 days overdue
Effect of Termination
- • Access ceases immediately
- • User Content deleted after 30-day grace period
- • You may request data export within 30 days
14. Governing Law and Disputes
Governing Law
These Terms are governed by the laws of the Republic of Singapore.

Class Action Waiver: You agree to resolve disputes individually and waive participation in class actions.
15. Export Compliance
You agree to comply with all applicable export control laws (Singapore, US, and other jurisdictions). You represent that you are not in a sanctioned country or on any restricted party list.
